WyAsk Terms of Service
Effective date: 9 August 2026 · Applies to WYASK Plus, WYASK Pro and WYASK Pro Teams
These Terms of Service ("Terms") are a binding agreement between WyAsk Technologies LTD ("WyAsk", "we", "us"), a company registered in Abu Dhabi Global Market (ADGM), United Arab Emirates, and the individual or organisation that registers for a WyAsk account ("Account Holder", "you"). If you purchase Optimization Reports or Lead Intelligence Reports, the WyAsk Reports Addendum also applies and is incorporated into these Terms by reference.
Acceptance
These Terms take effect, and become a binding agreement, at the moment you click "I Accept" (or an equivalent acceptance button) during signup, or — if no such click occurs — at the moment you create an account or otherwise use the Service. If you do not agree to these Terms, do not click "I Accept," create an account, or use the Service. If you accept on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" refers to that organisation.
1. Definitions
- Envelope — a governed, document-bound AI conversation space created by an Account Holder, containing uploaded content that a Receiver can ask questions about.
- Receiver — any person who accesses and chats with an Envelope, whether or not they are a WyAsk account holder.
- Content — any document, file, text, or other material an Account Holder uploads into an Envelope.
- Subscription Plan — the WYASK Plus, WYASK Pro, or WYASK Pro Teams plan selected by the Account Holder, as described in Section 5.
- Reports — Optimization Reports and Lead Intelligence Reports, as described in the WyAsk Reports Addendum.
- Chat Content — the messages and questions a Receiver submits when chatting with an Envelope.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to create a WyAsk account. WyAsk is intended for business and professional use; if you register on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorised use. Each seat is for use by one individual; credentials may not be shared across multiple people.
3.1 Pro Teams — Admin Responsibility
For WYASK Pro Teams, the organisation's Admin is responsible for managing seats, roles (Admin, Creator, Approver), and access within the organisation's account, including promptly removing seat access for anyone who leaves the organisation or should no longer have it. WyAsk deals with the Admin for account-level matters and is not responsible for internal disputes between an organisation and its seat holders over access, or for access retained by someone the Admin failed to deprovision. How the organisation configures and uses its Approver workflow is the organisation's own governance decision; WyAsk provides the tooling but does not arbitrate internal approval disputes.
4. The Service
WyAsk lets Account Holders create Envelopes from uploaded Content and share them with Receivers under access controls the Account Holder sets (public, private, OTP-protected, or invite-only). Answers Receivers see are governed: generated only from the Content in that Envelope, within limits the Account Holder configures.
5. Subscription Plans and Pricing
Current plan pricing is as follows. Pricing may change on notice as described in Section 16.

5.1 One-time Add-ons
Account Holders on any paid plan may purchase additional capacity as one-time, non-recurring add-ons:
- Storage: +50 MB for $5 · +500 MB for $10 · +1,000 MB for $15
- Queries: +500 queries for $5 · +1,000 queries for $10 · +1,500 queries for $15
Add-on capacity does not expire on its own but is forfeited if your subscription is cancelled or terminated, unless required otherwise by law.
5.2 Reports
Optimization Reports ($1 per envelope) and Lead Intelligence Reports ($2 per report) are purchased separately from your Subscription Plan and are governed by the WyAsk Reports Addendum, which also describes what data each Report contains and how it may be used.
6. Billing and Payment
Subscription fees are billed monthly in advance via our payment processor, Stripe. By subscribing, you authorise us (through Stripe) to charge your payment method each billing period. Report and add-on charges are billed at the time of purchase.
No refunds. All fees — subscription charges, add-ons, and Report charges — are non-refundable once billed, including for partial billing periods, except where required by applicable law.
6.1 Chargebacks
If you dispute a charge with Stripe or your card issuer instead of contacting us directly, we may immediately suspend your account pending resolution. We may charge a reasonable administrative fee to cover chargeback costs, and continuing to use the Service while a chargeback is open and unresolved is itself a breach of these Terms.
7. Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you retain access to paid features until then. No prorated refund is issued for the unused portion of a billing period.
8. Acceptable Use
You agree not to upload Content or use WyAsk to:
- Upload or share content that is unlawful, infringes another party's intellectual property or privacy rights, or that you do not have the right to share;
- Attempt to reverse-engineer, decompile, scrape, or otherwise extract the underlying models, methodology, scoring logic, or systems powering WyAsk;
- Use the Service to harass, deceive, or unlawfully profile any individual;
- Circumvent quota, access-control, or governance features of the platform;
- Use the Service in a way that violates applicable data protection, consumer protection, or AI-specific law in any jurisdiction where you operate.
8.1 No Unauthorized Representation
You may not use WyAsk to represent, or create an Envelope on behalf of, any person, business, or property that you are not authorized to represent. Impersonating another individual or entity, or falsely claiming authority to act on their behalf, without their permission, may be unlawful (including as fraud, identity theft, or a similar offense, depending on the jurisdiction) in addition to being a breach of these Terms. WyAsk reserves the right to investigate suspected misrepresentation and, in addition to suspending or terminating the relevant account, to pursue legal action or report the conduct to the appropriate authorities where warranted.
8.2 No Illicit Activity
You may not use WyAsk to promote, advertise, facilitate, or sell illicit goods or services, or to promote or further any unlawful activity. This includes, without limitation, using an Envelope to market controlled substances, counterfeit or stolen goods, or any other product or service prohibited by applicable law.
8.3 No Competitive Use
You may not use the Service to build, train, or benchmark a product or service that competes with WyAsk, or to evaluate WyAsk for the purpose of building a competing product. WyAsk may refuse service, or suspend or terminate an account, if it reasonably believes the Account Holder is a competitor or is acting on behalf of one.
8.4 Enforcement
If WyAsk reasonably believes an account has violated Section 8.1, 8.2, or 8.3, WyAsk may immediately suspend or terminate the account and remove the relevant Envelope(s), without notice and without refund of any fees paid, in addition to any other remedy available to WyAsk under these Terms or applicable law. More generally, we may suspend or terminate accounts that violate this Section 8.
9. Content Ownership, License, and Your Responsibility
9.1 Ownership
You retain ownership of the Content you upload into an Envelope.
9.2 Your Responsibility for Content
You are solely responsible for the Content you upload, including its accuracy, completeness, and legality, and for your right to share it. You represent and warrant that: (a) you own the Content or hold all rights and permissions necessary to upload and share it; (b) the Content does not infringe or misappropriate any third party's intellectual property, privacy, or other rights; and (c) the Content, and your use of it within the Service, complies with applicable law. WyAsk does not review, verify, or fact-check Content before it is used to answer Receiver questions, and has no obligation to do so.
9.3 License to WyAsk
You grant WyAsk a limited license to host, process, and use your Content solely to provide and improve the Service to you, consistent with our Privacy Policy and Data Charter. WyAsk does not use your Content to train AI models.
9.4 Receiver Content and License
When a Receiver chats with an Envelope, their messages and questions ("Chat Content") are not Content you uploaded, but are processed within your Envelope to generate answers, engagement statistics, and — where purchased — Reports. By chatting, a Receiver grants WyAsk a limited license to process their Chat Content for these purposes, as described in the WyAsk Receiver Notice and Privacy Policy. You do not own a Receiver's Chat Content; your rights to any resulting Report are as set out in the Reports Addendum.
9.5 Feedback
If you or your users send WyAsk feedback, suggestions, or ideas about the Service, you grant WyAsk a perpetual, irrevocable, royalty-free license to use them for any purpose, without attribution or compensation to you.
9.6 Deletion on Termination
WyAsk will delete or anonymize your Content within a reasonable period after your account is terminated or cancelled, except where retention is required for legal, security, or audit purposes, or as described in the Data Charter. WyAsk does not guarantee a backup of your Content; you are responsible for retaining your own copies of anything you upload. WyAsk does not scan Content for malware and is not liable for harm caused by malicious files you or a Receiver upload.
9.7 Third-Party Rights Notices
If a third party notifies WyAsk that Content you uploaded infringes their intellectual property or other rights, WyAsk may remove or disable access to that Content pending investigation, and may share your contact details with the notifying party where required to resolve the claim.
10. AI-Generated Output; Third-Party Models; No Guarantee of Accuracy
10.1 How Answers Are Generated
Answers, summaries, scores, and Reports are generated using large language models ("foundation models") supplied by third-party AI providers, applied to the Content within a given Envelope. WyAsk configures these models to answer only from the Content you provide, but AI systems do not perform perfectly: a model may still produce an incorrect, incomplete, or fabricated answer ("hallucination") even when instructed to stay within the provided Content.
10.2 No Guarantee of Accuracy
WyAsk does not warrant or guarantee that any AI-generated output — answers, summaries, scores, or Reports — will be accurate, complete, current, or free of hallucination. Hallucination and factual error are known, industry-wide limitations of large language model technology and are not unique to WyAsk. You and your Receivers should independently verify any information material to a decision, and should not treat AI-generated output as a substitute for professional legal, financial, medical, or other expert advice.
10.3 Third-Party Foundation Models
The Service relies on foundation models that WyAsk does not develop, train, or control the underlying behavior of. WyAsk is responsible for the governance layer we build around these models — access control, scoping answers to your Content, and the platform features described in these Terms — but is not responsible for the intrinsic capabilities, limitations, errors, biases, outages, or discontinuation of any third-party foundation model. Where a claim or loss arises from the inherent behavior of a third-party model rather than WyAsk's platform or governance layer, WyAsk's responsibility is limited to what WyAsk can, after reasonable effort, recover from the relevant model provider. WyAsk may substitute or change the foundation model(s) powering the Service at its discretion, including in response to a provider's changes, restrictions, or discontinuation of a model, and is not liable for any resulting change in output quality or behavior.
10.4 Your Responsibility for Reliance
You are responsible for any decision made or action taken — by you, your organisation, or a Receiver — in reliance on AI-generated output from the Service.
10.5 No Professional Advice; No Fiduciary Duty
WyAsk is a technology platform, not a licensed broker, lawyer, financial advisor, or other regulated professional, and does not provide professional advice of any kind. WyAsk owes no fiduciary duty to you or to any Receiver. If your use of WyAsk relates to a regulated activity — for example, real estate, legal, financial, or medical information — you are solely responsible for ensuring you and your Content comply with the licensing, disclosure, and professional-conduct rules that apply to that activity; WyAsk's governance features do not substitute for them.
11. Data Protection
Our collection and use of personal data, including data relating to Receivers, is described in our Privacy Policy and, where applicable, a Data Processing Agreement. Where WyAsk processes personal data on your behalf as a data processor, you act as the data controller and are responsible for having a lawful basis for that processing.
12. Intellectual Property
12.1 Platform IP
Except for your Content, all rights in the WyAsk platform, branding, and underlying technology (including Report methodology and scoring logic) belong to WyAsk Technologies LTD or its licensors. Nothing in these Terms transfers any such rights to you.
12.2 Aggregate Data
WyAsk owns all aggregated, anonymized data and statistics it generates from usage of the Service across its customers — for example, engagement patterns, benchmark metrics, and product analytics — provided such data does not identify you, your Content, or any Receiver. This is separate from, and does not include, your Content or any Receiver's Chat Content.
13. Warranties and Disclaimers
13.1 General Disclaimer
The Service is provided "as is" and "as available." Except as expressly stated in these Terms, WyAsk disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Without limiting the foregoing, and as described more fully in Section 10, WyAsk does not warrant that AI-generated output will be accurate, complete, or error-free, and does not warrant the uninterrupted availability or specific behavior of any third-party foundation model.
13.2 Beta and New Features
Features labeled "beta," "early access," "new," or similar are provided experimentally, "as is," without warranty of any kind, and are excluded from any support or availability commitment otherwise applicable to the Service. WyAsk may modify or discontinue a beta or early-access feature at any time without notice or liability.
14. Limitation of Liability
To the maximum extent permitted by law, WyAsk's total liability arising out of or relating to these Terms or the Service is limited to the fees you paid to WyAsk in the 12 months preceding the claim. WyAsk is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, even if advised of the possibility.
15. Indemnification
You agree to indemnify and hold WyAsk harmless from claims, losses, and expenses arising from: (a) your Content, including claims that it infringes a third party's rights or that it is inaccurate, incomplete, or unlawful; (b) your or a Receiver's reliance on AI-generated output from the Service; (c) your breach of these Terms; or (d) your violation of applicable law, including data protection law relating to your use of Reports or Receiver data.
16. Third-Party Infrastructure Providers
WyAsk hosts the Service using third-party cloud infrastructure providers. WyAsk is responsible for how it configures and governs that infrastructure to provide the Service to you, but is not responsible for an infrastructure provider's own outages, security incidents, or failures that are outside WyAsk's reasonable control, provided WyAsk has used reasonable care in selecting and configuring its infrastructure providers. This section does not limit WyAsk's own obligations under Section 11 (Data Protection) or applicable data protection law.
17. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide reasonable advance notice (for example, by email or an in-app notice) before the changes take effect. Continued use of WyAsk after changes take effect constitutes acceptance.
18. Term and Termination
We may suspend or terminate your account for breach of these Terms, non-payment, or abuse of the Service, with notice where reasonably practicable. You may stop using the Service and cancel your account at any time.
19. Governing Law; Arbitration; Class Action Waiver
19.1 Governing Law
These Terms are governed by the laws applicable in the Abu Dhabi Global Market (ADGM), United Arab Emirates, without regard to conflict-of-law principles.
19.2 Arbitration
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, seated in the ADGM, under the arbitrateAD Rules (Abu Dhabi International Arbitration Centre). This does not apply to claims that qualify for small claims court, or to either party's right to seek injunctive relief in court to protect its intellectual property or confidential information.
19.3 Class Action Waiver
Disputes must be brought on an individual basis. You agree not to bring or participate in any class, collective, or representative action against WyAsk, and an arbitrator may not consolidate more than one party's claims.
20. Survival
Sections 9 (as to accrued obligations), 10, 12, 13.1, 14, 15, 16, 19, 21, and 22 survive termination of these Terms.
21. No Third-Party Beneficiaries
These Terms are between WyAsk and the Account Holder. A Receiver is not a party to these Terms and has no rights under them. WyAsk's relationship with a Receiver, if any, is governed separately by the WyAsk Receiver Notice presented to them.
22. Miscellaneous
These Terms, together with the Privacy Policy and any applicable Addenda, constitute the entire agreement between you and WyAsk regarding the Service. If any provision is found unenforceable, a court or arbitrator should narrow it to the minimum extent necessary to make it enforceable, and the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events outside its reasonable control, including the unavailability, deprecation, or policy changes of a third-party AI model or infrastructure provider.
